About the role

The Legal Counsel (Corporate) will work within a small legal team and report to the Head of Legal. The role involves advising on Maltese company law and corporate governance, preparing and reviewing commercial agreements, managing company secretarial matters, coordinating M&A due diligence and liaising with external counsel and regulatory contacts when needed. The position suits a commercially minded lawyer who enjoys hands-on transaction work and client-facing responsibilities.

This role provides exposure to cross-border transactions, international client portfolios and the chance to develop sector-specialist knowledge (e.g. iGaming, financial services). Key responsibilities

  • Provide legal advice on Maltese company law, corporate governance and fiduciary duties
  • Draft, review and negotiate commercial agreements, shareholder agreements and board resolutions
  • Manage and maintain company secretarial records, filings and statutory registers
  • Support M&A activity including due diligence, drafting transactional documents and coordinating closings
  • Liaise with external counsel, auditors and regulatory bodies as required
  • Prepare board pack materials, minute meetings and advise boards on compliance matters
  • Conduct legal research on cross-border corporate matters and advise on regulatory implications
  • Assist in the development and maintenance of internal legal templates and processes

Requirements

  • Qualified lawyer with admission to the Maltese bar or an EU/UK law qualification plus equivalent experience (proof of ability to practice or work in Malta required)
  • Minimum 4+ years' post-qualification experience in corporate law, in-house or in a reputable law firm
  • Strong experience with company secretarial duties, corporate governance and transactional work
  • Excellent drafting, negotiation and analytical skills in English; Maltese language skills an advantage
  • Proven ability to manage multiple matters and meet deadlines in a small-team environment
  • High level of professional ethics, attention to detail and client-service orientation
  • Proficient with MS Office; comfortable using document management and e-filing systems

Work schedule

Typical week: Monday to Friday standard office hours with hybrid flexibility; occasional evenings for transaction deadlines.

  • Flexible start/end within core hours 09:00–15:30
  • Occasional evening or weekend work required for transactions or closings
