About the role

Harbour Point Legal & Tech Advisors Ltd is a specialist boutique firm advising fast-growing tech companies, SaaS vendors and corporate groups operating from Malta and across the EU. We combine corporate transactional work, commercial contracting and regulatory advisory in a collaborative team that serves both local start-ups and established international clients.

The Legal Counsel will work closely with partners and cross-functional teams to draft and negotiate commercial and technology agreements, advise on corporate governance and assist with regulatory, privacy and IP matters. The role suits a pragmatic lawyer comfortable with commercial risk management and an appetite for hands-on work across diverse legal areas.

Key responsibilities

  • Draft, review and negotiate commercial agreements, SaaS and technology contracts, NDAs, licensing and distribution arrangements
  • Provide corporate advice including shareholder agreements, corporate governance, board minutes and transactional documentation
  • Advise on data protection and privacy matters, liaising with external data protection advisors as needed
  • Support regulatory and compliance queries relevant to clients’ sectors, coordinating with external counsel for multi-jurisdictional issues
  • Manage legal risk assessments and provide pragmatic commercial guidance to business stakeholders
  • Coordinate and manage relationships with external law firms and advisors for specialised matters
  • Prepare legal opinions, internal policies and client-facing templates and playbooks
  • Assist with M&A due diligence and transactional support when required
  • Maintain clear matter files, ensure fee-earning time recording and support business development efforts

Requirements

  • Qualified lawyer with Maltese practising qualification or equivalent EU qualification with eligibility to practise or to register in Malta
  • Minimum 4–6 years post-qualification experience in corporate and commercial law, ideally with exposure to technology or SaaS clients
  • Proven experience drafting and negotiating commercial and technology agreements
  • Strong knowledge of corporate governance and transactional documentation
  • Good understanding of data protection (GDPR) fundamentals and commercial privacy clauses
  • Excellent drafting and negotiation skills in English; Maltese language skills advantageous
  • Ability to work autonomously, manage multiple matters and communicate clearly with non-legal stakeholders
  • Eligible to work in Malta or entitled to obtain work authorisation (EU nationals preferred)

Work schedule

Typical week: Monday to Friday standard office hours with hybrid flexibility; occasional after-hours for transactions or client deadlines.

  • Standard office hours: 09:00–17:30
  • Flexible start: 08:00–10:00 core hours with remote days agreed with manager
